Poppies Corp. - Equity Investment Programs
Providing the equity funds required for real estate investments is the most common method for most investors to participate in Poppies Corp projects. When we purchase a property, we take title in the name of a new Limited Liability Company (“LLC”) which is formed in the state in which the property is located. Because there are specific goals and objectives for each property, we usually keep the properties separate from each other by creating a new LLC for each property which also helps to provide additional legal protection and avoids conflicts. The LLC is governed by a written operating agreement in which the owners of an LLC are called “members” and the developer (Poppies Corp) is the “managing member”. The investors fund the LLC and become members or shareholders of the LLC. Upon the sale of the property (or when sufficient revenues are received through other means), the members of the LLC receive an amount equal to their investment amount before any profits are paid out. Once they have totally recovered their initial investments, then and only then are the additional revenues and profits dispersed in accordance with the terms of the operating agreement.
